Services Provided
The Agency will provide social media management, content creation, search engine optimization (SEO), paid advertising campaigns, email marketing, and analytics and reporting services as outlined in the agreed-upon scope of work.
Payment Terms
Client agrees to pay all fees as specified in the Agreement. Payments are due within 30 days of invoice receipt. Late payments may incur a 3% late fee.
Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the term of the Agreement and thereafter. This includes business strategies, client lists, and any other confidential information.
Intellectual Property
All content created by the Agency for the Client, including but not limited to written content, graphics, and videos, will be the exclusive property of the Client upon full payment for services rendered.
Term and Termination
The Agreement will commence on the start date and continue for the specified term. Either party may terminate the Agreement with 7 days’ written notice. The Client will compensate the Agency for all services performed up to the termination date.
Performance and Guarantees
While the Agency will use its best efforts to achieve the goals outlined in the scope of services, it does not guarantee specific results or performance outcomes due to various factors beyond its control.
Liability and Indemnity
The Agency is not liable for any indirect, incidental, or consequential damages arising from the services provided. The Client agrees to indemnify and hold the Agency harmless from any claims, damages, or expenses arising from the Client’s use of the services.
Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Queensland in Australia without regard to its conflict of law principles.
Modification of Terms
Any modifications to the Agreement must be made in writing and signed by both parties. Verbal modifications are not binding.
Dispute Resolution
In case of a dispute, the parties agree to attempt to resolve it through negotiation. If unresolved, the dispute will be submitted to mediation before litigation.
Use of Client’s Brand
The Agency is authorized to use the Client’s brand, logos, and trademarks solely for the purpose of providing the services outlined in the Agreement. The Client retains all rights to its intellectual property.
Reporting and Analytics
The Agency will provide regular reports and analytics to the Client as specified in the scope of services. These reports will include key performance indicators (KPIs) and other relevant metrics.
Content Approval
All content created by the Agency will be submitted to the Client for approval before publication. The Client agrees to provide timely feedback to avoid delays.
Data Protection
The Agency will adhere to all applicable data protection laws and regulations. Client data will be stored securely and used solely for the purpose of delivering the agreed-upon services.
Non-Exclusivity
This Agreement does not grant the Client exclusivity in the services provided. The Agency reserves the right to provide similar services to other clients.
Force Majeure
The Agency is not liable for any delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of war, or internet outages.
Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms and Conditions, along with the Agreement, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and negotiations.
